These Terms of Use ("Terms") govern your access to and use of the website located at www.blockchain.ai, including all subdomains, dashboards, applications, APIs, artificial intelligence tools, analytics features, data feeds, and related services (collectively, the "Service") provided by Blockchain AI, a company organized under the laws of United Arab Emirates ("Blockchain.ai," "we," "us," or "our"). By accessing or using the Service, you agree to be legally bound by these Terms. If you do not agree, you must discontinue all use of the Service immediately.

1. Overview of the Service

1.1 Blockchain.ai operates as a blockchain data analytics and research platform that aggregates and displays publicly available blockchain information, token metrics, market analytics, decentralized finance data, artificial intelligence-generated insights, and related informational content. 1.2 The Service is provided strictly for informational, educational, and research purposes only. 1.3 Blockchain.ai does not operate as a broker-dealer, investment adviser, exchange, custodian, financial institution, crypto-asset service provider, multilateral trading facility, portfolio manager, or fiduciary in any jurisdiction. 1.4 Blockchain.ai does not execute transactions, hold customer funds, manage digital assets, or provide custody services. 1.5 We may modify, suspend, or discontinue any part of the Service at any time for operational, security, legal, or regulatory reasons.

2. Eligibility

2.1 You must be at least eighteen (18) years old or the age of legal majority in your jurisdiction to use the Service. 2.2 By using the Service, you represent and warrant that your use complies with all applicable laws and regulations. 2.3 The Service is not directed to individuals in jurisdictions where access would violate applicable laws or require regulatory registration not held by Blockchain.ai.

3. No Financial Advice

3.1 All information made available through the Service, including but not limited to analytics, token rankings, price charts, wallet activity metrics, liquidity indicators, trending assets, risk scores, historical data, research summaries, artificial intelligence outputs, chat responses, predictive modeling, commentary, and sponsored placements, is provided strictly for informational, educational, and research purposes only. 3.2 Nothing on the Service constitutes or shall be construed as investment advice, financial advice, trading advice, tax advice, legal advice, accounting advice, portfolio management, a recommendation, a solicitation, an endorsement, or an offer to buy, sell, hold, stake, lend, borrow, or otherwise transact in any digital asset, crypto-asset, token, security, derivative, commodity, or financial instrument in any jurisdiction. 3.3 Blockchain.ai does not provide personalized investment advice or make suitability determinations. The Service does not take into account your individual financial circumstances, investment objectives, risk tolerance, tax situation, or portfolio composition. 3.4 Blockchain.ai is not registered as, and does not hold itself out as, a broker-dealer, investment adviser, commodity trading advisor, financial institution, exchange, crypto-asset service provider under MiCA, multilateral trading facility, custodian, or fiduciary under the laws of the United States, the European Union, or any other jurisdiction. 3.5 The display, ranking, categorization, scoring, trending status, listing, or highlighting of any token, protocol, wallet, project, or digital asset does not constitute endorsement, validation, due diligence, verification, regulatory approval, or certification by Blockchain.ai. 3.6 Artificial intelligence tools and automated analytics made available through the Service generate outputs based on statistical modeling and available data inputs. AI-generated outputs are automated, probabilistic, and may be incomplete, inaccurate, outdated, biased, or misleading. AI outputs do not constitute professional advice and must not be relied upon as the basis for investment or trading decisions. 3.7 You acknowledge that digital assets may be deemed securities, commodities, derivatives, or other regulated financial instruments in certain jurisdictions. Blockchain.ai makes no representation or warranty regarding the regulatory classification, compliance status, or legal permissibility of any asset displayed on the Service. 3.8 The Service may include sponsored placements, paid listings, advertising, or promotional content. Such placements may influence visibility or ranking and do not constitute a recommendation or investment advice. 3.9 No fiduciary, advisory, agency, brokerage, or trust relationship is created between you and Blockchain.ai by virtue of your use of the Service. Blockchain.ai does not owe you duties of care, loyalty, suitability, best execution, monitoring, or any similar fiduciary obligations. 3.10 You acknowledge and agree that you are solely responsible for conducting your own independent research, verifying information from multiple sources, and consulting qualified financial, legal, and tax professionals before making any financial or investment decisions. 3.11 Your use of the Service and any reliance on information, analytics, or AI outputs is entirely at your own risk.

4. Artificial Intelligence

4.1 The Service may include artificial intelligence tools and interactive chat systems ("AI Tools"). 4.2 AI Tools generate responses based on probabilistic models and available data inputs. Outputs may be inaccurate, incomplete, outdated, biased, or misleading. 4.3 AI-generated outputs do not constitute professional advice and must not be relied upon as financial, legal, or tax guidance. 4.4 AI responses are automated and are not reviewed by licensed professionals. 4.5 Blockchain.ai disclaims all liability arising from reliance on AI-generated outputs. 4.6 You agree not to use AI Tools to request unlawful trading strategies, regulatory evasion methods, market manipulation techniques, or exploitative conduct.

6. No Fiduciary Relationship

6.1 Your use of the Service does not create any fiduciary, advisory, brokerage, custodial, agency, or partnership relationship. 6.2 Blockchain.ai does not owe duties of care, loyalty, suitability, or best execution. 6.3 All decisions are made solely at your own risk.

7. User Responsibilities

7.1 You agree to use the Service only for lawful purposes. 7.2 You may not use the Service to engage in fraud, market manipulation, deceptive trading practices, or unlawful financial promotion. 7.3 You may not interfere with the Service through scraping, reverse engineering, denial-of-service attacks, or circumvention of technical safeguards. 7.4 If API access is provided, you must comply with usage limits and redistribution restrictions.

8. Regulatory Compliance and Sanctions

8.1 You are solely responsible for ensuring that your access to and use of the Service complies with all applicable laws, regulations, and regulatory guidance in your jurisdiction, including but not limited to securities laws, commodities laws, financial promotion regulations, consumer protection laws, anti-money laundering (AML) laws, counter-terrorist financing (CTF) laws, sanctions laws, export control laws, tax reporting requirements, and any regulations applicable to digital assets or crypto-assets. 8.2 Blockchain.ai does not represent or warrant that the information, analytics, token data, rankings, AI outputs, or other materials made available through the Service are appropriate or lawful for use in any particular jurisdiction. Accessing the Service from territories where its content or availability is illegal is prohibited. 8.3 The Service is not intended to constitute financial promotion, marketing of securities, or offering of regulated financial instruments in any jurisdiction. You acknowledge that the display of token data, project information, or sponsored placements does not constitute a public offering, prospectus, solicitation, or regulated communication within the meaning of applicable securities or financial services laws. 8.4 You represent and warrant that you are not: (a) located in, incorporated in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive economic or trade sanctions administered by the United States Department of the Treasury's Office of Foreign Assets Control (OFAC), the European Union, the United Nations, the United Kingdom, or any other applicable governmental authority; (b) a person or entity included on any sanctions-related list of designated or restricted persons maintained by OFAC, the EU, the UK, the UN, or any other competent authority; (c) owned or controlled, directly or indirectly, by any person or entity described in subsections (a) or (b). 8.5 You further represent and warrant that you will not use the Service for any purpose that would cause Blockchain.ai to violate applicable sanctions, AML, CTF, export control, or financial crime laws. 8.6 You agree not to use the Service to facilitate money laundering, terrorist financing, sanctions evasion, proliferation financing, market manipulation, insider trading, fraud, deceptive financial promotion, or any other unlawful activity. 8.7 Blockchain.ai reserves the right, in its sole discretion and without prior notice, to restrict, suspend, or terminate access to the Service for any user it reasonably believes is in violation of applicable sanctions, AML, CTF, or financial crime laws, or is located in a restricted jurisdiction.

9. Intellectual Property

9.1 All content, software, analytics, AI models, trademarks, and proprietary technology remain the property of Blockchain.ai or its licensors. 9.2 You may not reproduce, distribute, or create derivative works without prior written consent.

10. Third-Party Content and Links

10.1 The Service may reference or link to third-party platforms, protocols, or services. 10.2 Blockchain.ai does not endorse or assume liability for third-party content.

11. Disclaimers

11.1 The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, or uninterrupted availability. 11.2 Blockchain.ai does not warrant the accuracy, reliability, timeliness, or completeness of any data, analytics, rankings, token metrics, AI-generated outputs, or other information made available through the Service. 11.3 Blockchain.ai does not warrant that the Service will operate without errors, interruptions, vulnerabilities, or security risks. 11.4 Blockchain.ai makes no warranty regarding the performance, legality, compliance, security, or reliability of any third-party services, blockchain networks, decentralized protocols, exchanges, APIs, wallets, smart contracts, data providers, hosting providers, or external resources integrated with or referenced by the Service. 11.5 You acknowledge that public blockchain data may contain inaccuracies, indexing delays, incomplete transaction histories, reorganizations, forks, protocol-level inconsistencies, or other technical anomalies beyond Blockchain.ai's control. Blockchain.ai does not guarantee the integrity, finality, or consistency of blockchain-derived information. 11.6 Any information, analytics, or AI-generated output provided through the Service does not constitute professional advice and is not warranted to be suitable for investment, trading, compliance, accounting, tax, or legal purposes. 11.7 Some jurisdictions, including certain U.S. states and EU member states, do not allow the exclusion of certain warranties. To the extent such exclusions are prohibited by applicable law, some of the above disclaimers may not apply to you, and you may have additional statutory rights that cannot be waived. 11.8 Nothing in these Terms shall exclude or limit liability for fraud, fraudulent misrepresentation, or any liability that cannot be excluded under applicable law.

12. Limitation of Liability

12.1 To the fullest extent permitted by applicable law, Blockchain.ai, its affiliates, officers, directors, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or aggravated damages, including but not limited to loss of profits, loss of revenue, loss of business opportunities, loss of goodwill, loss of data, loss of digital assets, trading losses, loss of expected returns, reputational harm, or business interruption, whether arising in contract, tort (including negligence), strict liability, statutory claim, or otherwise, even if advised of the possibility of such damages. 12.2 Without limiting the generality of the foregoing, Blockchain.ai shall not be liable for any losses, damages, or claims arising out of or relating to: (a) reliance on analytics, rankings, token classifications, wallet metrics, predictive models, or artificial intelligence outputs; (b) trading decisions, investment strategies, or financial transactions involving digital assets; (c) volatility, liquidity shortages, price manipulation, or market disruptions; (d) smart contract bugs, protocol exploits, validator failures, forks, or consensus errors; (e) blockchain network congestion, reorganization, or technical failure; (f) wallet compromise, private key loss, seed phrase exposure, or unauthorized access to digital assets; (g) exchange insolvency, custodial failure, trading suspension, delisting, or counterparty default; (h) inaccuracies, omissions, delays, or corruption of data obtained from third-party providers or blockchain networks; (i) regulatory enforcement actions, legislative changes, sanctions restrictions, or legal reclassification of digital assets; (j) AI-generated outputs that are inaccurate, incomplete, or misleading; (k) interruptions, downtime, cybersecurity incidents, malware, or technical vulnerabilities; (l) actions or omissions of third parties integrated with or referenced by the Service. 12.3 Blockchain.ai does not assume and expressly disclaims any duty to monitor, supervise, verify, or validate digital asset markets, blockchain networks, token issuers, or third-party service providers. 12.4 In no event shall Blockchain.ai's total aggregate liability for all claims arising out of or relating to the Service exceed the greater of (i) one hundred U.S. dollars (USD $100) or (ii) the total amount paid by you to Blockchain.ai, if any, during the twelve (12) months immediately preceding the event giving rise to the claim. 12.5 The limitations and exclusions of liability set forth in this Section apply regardless of the theory of liability, including breach of contract, negligence, misrepresentation, strict liability, or statutory claims, and shall survive termination of your use of the Service. 12.6 Nothing in these Terms shall exclude or limit liability to the extent such limitation is prohibited by applicable law, including liability for fraud, fraudulent misrepresentation, or any other liability that cannot be lawfully excluded under the laws of the European Economic Area, the United Kingdom, or applicable U.S. state law. 12.7 You acknowledge and agree that the limitations of liability contained in this Section are an essential basis of the agreement between you and Blockchain.ai and that the Service would not be provided without such limitations.

13. Indemnification

13.1 You agree to indemnify, defend, and hold harmless Blockchain.ai, its affiliates, subsidiaries, officers, directors, shareholders, employees, agents, contractors, licensors, data providers, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, investigations, proceedings, damages, losses, liabilities, judgments, settlements, penalties, fines, costs, and expenses (including reasonable attorneys' fees and professional fees) arising out of or relating to: (a) your access to or use of the Service; (b) your reliance on analytics, rankings, token data, or AI-generated outputs; (c) your trading, investment, or digital asset transactions; (d) your violation of these Terms; (e) your violation of any applicable law, regulation, or sanctions regime; (f) your misuse of the Service for unlawful financial promotion, market manipulation, fraud, or deceptive conduct; (g) your circumvention of geo-blocking, sanctions restrictions, or compliance controls; (h) your infringement or alleged infringement of intellectual property, privacy, publicity, or other rights of any third party; (i) your submission of Inputs to AI Tools that infringe third-party rights or violate applicable law; (j) any dispute between you and any third party, including token issuers, exchanges, wallet providers, regulators, or other users. 13.2 Blockchain.ai reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate fully with Blockchain.ai in the defense of any such claim. 13.3 This indemnification obligation applies regardless of whether the claim arises under contract, tort (including negligence), strict liability, statutory claim, regulatory enforcement action, or otherwise. 13.4 Your indemnification obligations shall survive termination of your access to or use of the Service. 13.5 Nothing in this Section shall require you to indemnify Blockchain.ai for liability arising solely from Blockchain.ai's fraud or willful misconduct to the extent such exclusion is required under applicable law.

14. Termination

Blockchain.ai may suspend or terminate access if you violate these Terms or create legal or operational risk.

15. Governing Law

These Terms shall be governed by the laws of United Arab Emirates, without regard to conflict of law principles.

16. Dispute Resolution; Arbitration (U.S. Users)

16.1 Any dispute shall be resolved by binding arbitration on an individual basis. 16.2 You waive any right to participate in a class action lawsuit or class arbitration. 16.3 If arbitration is unenforceable in your jurisdiction, disputes shall be resolved exclusively in courts located in United Arab Emirates.

17. EU Consumer Rights

17.1 If you are a natural person acting for purposes outside your trade, business, craft, or profession and you reside in a Member State of the European Economic Area ("EEA") or the United Kingdom, you may qualify as a "consumer" under applicable law. 17.2 Nothing in these Terms is intended to exclude, limit, or restrict any mandatory rights you may have under applicable consumer protection laws, including but not limited to the laws implementing: (a) the Consumer Rights Directive (2011/83/EU); (b) the Unfair Contract Terms Directive (93/13/EEC); (c) the Digital Content and Digital Services Directive (EU) 2019/770; (d) the Digital Services Act (EU) 2022/2065, where applicable; (e) the General Product Safety and related consumer legislation; or (f) any equivalent national implementing legislation. 17.3 To the extent required under applicable consumer protection law, Blockchain.ai will ensure that digital services provided to consumers conform to mandatory statutory standards, including requirements relating to accessibility, functionality, security, and conformity. 17.4 Where applicable, you may be entitled to remedies under consumer law if the Service is found to lack conformity with mandatory legal requirements. Such remedies may include repair, correction, or proportionate price reduction, to the extent required by law. 17.5 The exclusions and limitations of liability set forth in these Terms apply to the maximum extent permitted under applicable consumer protection law and shall not apply to the extent that such exclusions or limitations are prohibited by law. 17.6 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be lawfully excluded under applicable EU or national law. 17.7 If you are a consumer residing in the EEA, you may have the right to bring claims in the courts of your country of residence in accordance with applicable jurisdictional rules. Nothing in these Terms shall deprive you of such mandatory jurisdictional rights.

18. Severability

If any provision is found invalid, the remaining provisions remain in full force and effect.

19. Entire Agreement

These Terms constitute the entire agreement between you and Blockchain.ai regarding use of the Service.
